Terms of Service

These Terms of Service ("Terms") govern your use of the SaaSVista website at ai.saasvista.io and the SaaSVista Scan service ("Service") operated by SaaSVista ("we," "our," or "us"). By accessing our website or engaging our Service, you agree to these Terms.

1. Service Description

SaaSVista provides the SaaSVista Scan — a fixed-scope engagement that scans up to 3 GitHub repositories with read-only access in minutes (standard delivery within 48 hours, priority delivery available), identifies AI SDK usage, maps compliance risks against industry frameworks (NIST AI RMF, ISO 42001, EU AI Act), and delivers two deliverables: a Trust Pack (PDF + JSON) for internal remediation and a Response Kit (PDF + DOCX) with 27 buyer questions pre-answered from scan evidence.

2. Engagement Scope

  • Read-only access — We access your repositories in read-only mode. We do not modify code, configurations, or deployments.
  • Fixed scope — Each engagement covers one AI-enabled product line and up to 3 repositories, as defined during the kickoff call.
  • Deliverables — A Trust Pack (PDF + JSON) containing AI provider/model inventory, risk and control mapping, executive narrative, and 30/60/90 day action plan; plus a Response Kit (PDF + DOCX) with 27 due diligence questions pre-answered with scan evidence.
  • Not included — Legal advice, unlimited revisions, multi-business-unit enterprise transformations, or ongoing monitoring.

3. Client Responsibilities

By engaging our Service, you agree to:

  • Provide accurate information during intake and kickoff
  • Grant read-only GitHub access to the agreed-upon repositories
  • Designate a point of contact for communication during the engagement
  • Review and provide feedback on deliverables within 5 business days of receipt

4. Confidentiality

We treat all repository contents, scan results, and engagement communications as confidential. Specifically:

  • We will not disclose your code, findings, or deliverables to third parties without your written consent.
  • We may require a mutual NDA or equivalent confidentiality terms before repository access is granted.
  • Aggregated, anonymized insights (not attributable to you) may be used to improve our service and methodology.

5. Payment Terms

  • Pricing is agreed upon during the scoping process and confirmed in a written proposal or engagement agreement.
  • Engagement pricing is scope-dependent based on number of repositories, depth of analysis, and timeline. Design partner pricing is available for early customers. 48-hour priority delivery is available.
  • Payment is due upon delivery of the Trust Pack and Response Kit, net 15 days, unless otherwise agreed in writing.
  • Late payments may incur a 1.5% monthly fee on outstanding balances.

6. Intellectual Property

  • Your code — remains entirely yours. We claim no rights to your source code, repositories, or proprietary systems.
  • Deliverables — upon payment, you receive a perpetual, non-exclusive license to use your Trust Pack and Response Kit deliverables for internal and customer-facing purposes.
  • Our tools and methodology — our scanning tools, risk rules, control mappings, and report templates remain our intellectual property.

7. Limitation of Liability

The Trust Pack and Response Kit are informational readiness reviews, not legal opinions, audits, or certifications. Specifically:

  • The deliverables do not constitute legal advice or a compliance certification.
  • Findings are based on automated scanning and AI-assisted analysis at the time of the scan.
  • We do not guarantee that the deliverables will satisfy any specific regulatory requirement or buyer diligence process.
  • Our total liability for any claim arising from the Service is limited to the fees paid for the specific engagement.

8. Warranty Disclaimer

The Service is provided "as is" and "as available." We make no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that scan results will be error-free, complete, or that the Service will meet your specific compliance objectives.

9. Termination

  • Either party may terminate an engagement with written notice before deliverable completion.
  • If you terminate after kickoff but before delivery, fees for work completed to date are due on a pro-rata basis.
  • Upon termination, we will delete all repository access tokens and engagement data within 30 days.

10. Website Use

By using our website, you agree not to:

  • Use the site for any unlawful purpose
  • Attempt to access restricted areas or admin systems
  • Scrape, crawl, or use automated tools to extract content without permission
  • Interfere with the site's operation or security

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Effective" date at the top. Continued use of the website or Service after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service will be resolved in the courts of Texas.
